Terms of Service / End-User License Agreement

These Terms of Service ("Terms") govern access to and use of the Rivercrest AP Automation application (the "Application"), which is owned and operated by Rivercrest Partners LLC ("Rivercrest Partners," "we," "us," or "our"). By accessing or using the Application you ("you" or "User") agree to these Terms.

1. License

The Application is licensed, not sold. Rivercrest Partners grants its authorized employees, contractors, and service providers a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for Rivercrest Partners' internal business purposes. The Application is not available to the general public, and no rights are granted to any party other than Rivercrest Partners and its authorized personnel.

2. Restrictions

You may not:

  • Use the Application other than in connection with Rivercrest Partners' business.
  • Distribute, sublicense, sell, lease, or otherwise transfer the Application to any third party.
  • Reverse engineer, decompile, or disassemble the Application except to the extent expressly permitted by law.
  • Use the Application to access any QuickBooks Online account other than the account owned and operated by Rivercrest Partners.
  • Use the Application in violation of any applicable law or in violation of Intuit's Developer Terms or QuickBooks Online terms.

3. Intuit and QuickBooks Online

The Application connects to QuickBooks Online through Intuit Inc.'s API. Intuit is not a party to these Terms. Your use of QuickBooks Online itself is governed by Intuit's own agreements with Rivercrest Partners. Rivercrest Partners is responsible for the Application's interaction with QuickBooks Online and is not affiliated with or endorsed by Intuit.

4. Intellectual property

All right, title, and interest in and to the Application, including all related intellectual property rights, are and will remain the exclusive property of Rivercrest Partners and its licensors.

5. Confidentiality

Information accessed through the Application — including financial records, customer and vendor lists, and internal accounting data — is confidential information of Rivercrest Partners. Authorized users must keep it confidential and use it only for Rivercrest Partners' internal business purposes.

6. Disclaimer of warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RIVERCREST PARTNERS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVERCREST PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. RIVERCREST PARTNERS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

8. Termination

Rivercrest Partners may suspend or terminate access to the Application at any time, with or without notice. Upon termination, all licenses granted under these Terms will immediately end.

9. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Alameda County, California, and the parties consent to personal jurisdiction in those courts.

10. Changes

Rivercrest Partners may modify these Terms at any time by posting an updated version at this URL. Continued use of the Application after the changes take effect constitutes acceptance of the revised Terms.
